Terms of Service

1. Acceptance of Terms

This Terms of Service constitutes a binding legal agreement between you and Verify Products LLC, a Utah limited liability company (“we”, “us”, “our”). By accessing or using the Verify platform, you explicitly agree to be bound by these terms, our Privacy Policy, and all applicable federal, state, and local laws. You acknowledge that you are contracting solely with the limited liability company and not with any individual member, founder, officer, or employee personally. If you do not agree with these terms, you are strictly prohibited from using the platform.

2. Use of AI-Generated Content & Risk Allocation

Verify utilizes advanced artificial intelligence models to simulate how targeted market audience personas might respond to your uploaded marketing creative. You explicitly understand and agree that all persona reports, engagement scores, predictive objections, sentiment analyses, and rewrite suggestions are AI-generated simulations provided strictly for comparative informational and marketing research purposes. They do not constitute professional marketing, legal, financial, or business advice. Verify Products LLC makes no warranties regarding the absolute predictive accuracy of these simulations in real-world market conditions. Results will vary, and scores are never a guarantee of actual campaign performance, conversion rates, or return on investment (ROI). The final liability and decision to deploy any marketing initiative rests solely and exclusively with you.

3. Usage License

Verify Products LLC grants you a limited, non-exclusive, non-transferable, revocable license to access our proprietary AI simulation engine solely for your internal business marketing optimization. Under this license, you are strictly prohibited from sublicensing, reselling, white-labeling, or distributing Verify's data outputs, custom persona logs, or audit reports as a standalone product, service, or competing commercial platform without explicit written authorization from Verify Products LLC.

4. User Responsibilities & Content Warranties

• Content Legality: You retain sole legal responsibility for any marketing creative, copy, images, or assets you upload. You warrant that you own or possess the necessary rights to process this content and that it does not infringe upon the intellectual property, copyright, trademark, or privacy rights of any third party, nor violate any consumer protection laws.
• Platform Integrity: You agree not to attempt to reverse-engineer, decompile, or exploit the underlying Verify persona engine structure, scrape data from our interface, bypass security tokens, or probe our Supabase database configurations for vulnerabilities without clear prior written consent.
• Account Security: You are entirely responsible for safeguarding your personal account credentials. You must notify us immediately at contact@verify-products.com if you suspect any unauthorized access, session breach, or credential leak.

5. Subscription, Billing & Payment Processing

• Standard (Free): Grants up to 3 simulation reports at no monetary charge, subject to rate limits and preset persona restrictions imposed by the platform.
• Premium (Paid): Recurring subscriptions are billed monthly in advance via our payment sub-processor, Stripe. You may cancel your subscription at any time via the integrated billing portal. Verify Products LLC enforces a strict no-refund policy; we do not issue pro-rated refunds or account credits for partial months or unused report balances already billed.
• Verify Products LLC reserves the right to modify subscription tiers, rate limits, or adjust monthly pricing plans at any time upon providing a mandatory 30 days' notice via email to active subscribers.

6. Intellectual Property & Data Rights

You retain full, exclusive ownership of any original marketing creative you upload to the platform. By submitting content to our system, you grant Verify Products LLC a limited, non-exclusive, worldwide, royalty-free license to process, transmit, and format that creative content solely for the operational purpose of generating your automated reports. Verify Products LLC retains all right, title, and intellectual property interest in the software code, underlying algorithms, UI navigation components, branding elements, persona council logic vectors, and any aggregate, completely anonymized meta-learnings derived from general platform utilization.

7. Limitation of Liability & Corporate Shield

To the maximum extent permitted by applicable law, in no event shall Verify Products LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of business profits, wasted advertising expenditure, media campaign failures, data loss, or damage to corporate reputation arising out of your use of, or inability to safely navigate, the platform.

NO PERSONAL LIABILITY: You expressly understand, acknowledge, and agree that all liability under this agreement rests solely with the corporate entity. You hereby completely waive, release, and forfeit any legal right to bring claims for personal liability, seek judicial damages, or pierce the corporate veil against individual members, founders, owners, officers, directors, or employees of Verify Products LLC personally.

The aggregate liability of Verify Products LLC for any verified claim, dispute, or cause of action relating to the service shall be strictly capped and shall not exceed the actual dollar amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim, or one hundred dollars ($100.00 USD), whichever is greater.

8. Indemnification

You agree to defend, indemnify, and hold completely harmless Verify Products LLC, its members, and affiliates from and against any and all third-party legal claims, regulatory fines, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or directly relating to (i) your violation of these Terms, (ii) content you upload that infringes the intellectual property or legal rights of a third party, or (iii) your fraudulent, negligent, or illegal misuse of the platform.

9. Governing Law & Dispute Resolution via Arbitration

These Terms of Service, along with your legal relationship with the company, shall be governed by, interpreted, and enforced exclusively in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

You and Verify Products LLC explicitly agree that any dispute, claim, or legal controversy arising out of or relating to these terms or the platform that cannot be settled amicably through informal contact shall be settled exclusively via binding arbitration administered by a single neutral arbitrator, rather than in a court of law. The venue for arbitration shall be located strictly within Salt Lake City, Utah, and you wave any right to initiate or participate in class-action litigation or class-wide arbitration proceedings.

10. Termination of Service

Verify Products LLC reserves the right to immediately suspend, restrict, or completely terminate your access to the platform, without liability or prior notice, if we determine in our sole discretion that you have breached these Terms, manipulated our API pathways, or engaged in behavior detrimental to platform operations. You retain the right to terminate your account and cease platform utilization at any point directly via the self-service options on your Account dashboard.

11. Changes to These Terms

We reserve the right to modify these Terms of Service periodically to reflect operational modifications or legislative changes. We will distribute a notification to all active users via email before material terms take effect. Continued utilization of Verify after the specified effective date constitutes your formal, binding acceptance of the updated Terms.
